SEC imposes civil penalties on 6 cases for selling PTG shares based on inside information

The SEC has imposed civil sanctions on six offenders for selling PTG shares based on inside information. disclose inside information and assisting in the commission of an offence. Total fine 50 million baht

The Securities and Exchange Commission (SEC) disclosed the prosecution with civil sanctions against 6 offenders, namely (1) Mrs. Chatkaew Gajaseni (2) Ms. Laphasorn Gajaseni (3) ) Mr. Sahaschai Kojaseni, (4) Mr. Khemphob Gajaseni, (5) Mrs. Kotchakon Pibulthammasak and (6) Mr. Tharathorn Phibulthammasak. In case of selling shares of PTG Energy Public Company Limited (PTG) by using inside information they know or possess disclose inside information and assisting in the commission of an offence. In which the offenders must pay a total of 51,540,993 baht and set a period of prohibition from being a director or executive with all 6 offenders.

The SEC receives information from the Stock Exchange of Thailand. and check further Facts and evidence have been found to convince us that 6 persons have committed an offense relating to the sale of shares based on inside information they know or possess, namely: PTG) has learned inside information that has a negative impact on PTG's stock price regarding PTG's operating results for the third quarter of 2018 with a significant decrease in net profit. This was due to a decrease in sales and service income and an increase in selling and administrative expenses. which after knowing such inside information Mrs. Chatkaew sold her PTG shares through the securities trading accounts of (2) Ms. Lapatsorn, (3) Mr. Sahaschai and (4) Mr. Khempop before PTG disclosed such inside information to the Stock Exchange of Thailand on November 8, 2018

In addition, Mrs. Chatkaew disclosed inside information to (5) Mrs. Kotchakorn, who used such inside information to sell PTG shares through her own securities trading account, and (6) Mr. Tharathorn had known such inside information and had Sell PTG shares through your own trading account before PTG discloses such inside information to the Stock Exchange of Thailand as well.

The actions of Mrs. Chatkaew, Mrs. Kochakorn and Mr. Tharathorn are offenses on the sale of PTG shares based on inside information pursuant to Section 242(1) in conjunction with Section 243(1), Section 244(4) or Section 244(5), as the case may be, which carries a penalty. According to Section 296 and Section 296/2 of the Securities and Exchange Act B.E. 2535

In addition, Ms. Chatkaew's action is an offense for disclosure of inside information under Section 242(2), which also carries penalties under Section 296 and Section 296/2 of the same Act.

Ms. Laphatsaorn, Mr. Sahaschai and Mr. Khemphop are guilty of sponsoring the offense of selling PTG shares based on inside information under Section 315 in conjunction with Section 242(1), which has penalties under Section 296 and Section 296. 296/2 of the same Act

The Committee on Civil Sanctions (MSP) resolved to apply civil sanctions* to all 6 such offenders by imposing civil sanctions, i.e. civil fines. Reimbursement in the amount equal to the benefits received or should be received Reimbursement of SEC expenses due to investigation of wrongdoing and prohibited from serving as a director or executive in a securities issuing company or a securities company as follows:

1) Mrs. Chatkaew pay civil fines Reimbursement in the amount equal to the benefit received and reimburse the SEC for the investigation of the offence.

Total amount of 42,154,171 baht and imposing measures to prohibit being a director or executive for 31 months. and reimburse the SEC for the investigation of the offence. totaling 537,586 baht per person and imposing measures to prohibit being a director or executive for 20 months each

. Reimbursement in the amount equal to the benefit received and reimburse the SEC for the investigation of wrongdoing in the total amount of 4,187,731 baht and impose measures to prohibit being a director or executive for 12 months.

4) Have Mr. Tharathorn pay a civil fine. Reimbursement in the amount equal to the benefit received and reimburse the SEC for the investigation of wrongdoing in the total amount of 3,586,333 baht, and impose measures to prohibit being a director or executive for 12 months.

The period of prohibition from being a director or executive as mentioned above shall take effect from the date on which the offender signs a memorandum of consent to comply with civil sanctions imposed by the MSPC if the offender does not consent. A. The SEC will issue a letter requesting the public prosecutor to file a lawsuit to the Civil Court in order to impose civil sanctions at the highest rate stipulated by law, not lower than the rate set by the MSDS.

In this regard, the civil fines and reimbursement for the benefits received from the offense are state revenue remitted to the Ministry of Finance. .
